I have windows xp 32 bid in a virtual box in WIndows 8.1.

WIndows XP and Ubuntu are installed as guests in a VIrtual Box with Windows 8.1 as host. I am not worred about the Linux, but it the XP protected. Do I have to install Webroot in the XP? Most files used are shared folders on the host.

    Yep, you should install Webroot on the XP VM as well.
